Terms of Service

1. Acceptance of Terms

By accessing and using Manual Manager ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

2. Description of Service

Manual Manager is a document management and AI-powered Q&A service that allows users to upload, organize, and query documents. The Service provides AI-powered chat functionality to answer questions based on uploaded documents.

3. User Accounts

To use our Service, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

4. Subscription Plans and Payment

Our Service offers subscription plans:

  • Knight: $399/month - Includes 3 admin accounts, 25 user accounts, 300 files, 5GB storage

Payments are processed through secure third-party payment processors. Subscription fees are billed monthly in advance. You may cancel your subscription at any time, but no refunds will be provided for the current billing period.

5. User Content and Responsibilities

You are responsible for:

  • All content you upload to the Service
  • Ensuring you have the right to upload and process such content
  • Not uploading illegal, harmful, or infringing content
  • Complying with all applicable laws and regulations

5.1 Prohibited Content Types

You agree NOT to upload, store, or process the following types of confidential, sensitive, or regulated information:

  • Confidential Business Information: Trade secrets, proprietary business strategies, confidential financial data, or any information subject to non-disclosure agreements
  • Personal Identifiable Information (PII): Social Security numbers, passport numbers, driver's license numbers, or other government-issued identification numbers
  • Protected Health Information (PHI): Medical records, health information, or any data subject to HIPAA or similar health privacy regulations
  • Financial Account Information: Bank account numbers, credit card numbers, PINs, or other financial account credentials
  • Authentication Credentials: Passwords, API keys, security tokens, or other authentication information
  • Regulated Data: Information subject to export control laws, classified information, or data requiring special security clearances

Important: By using this Service, you acknowledge that Manual Manager is not designed for handling confidential, sensitive, or regulated information. You assume full responsibility and liability for any data you upload, and you agree that Manual Manager shall not be liable for any breach, loss, or unauthorized disclosure of such information.

We reserve the right to remove any content that violates these terms or is otherwise objectionable.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Manual Manager and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of your uploaded content but grant us a license to process and store it to provide the Service.

7. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit viruses or malicious code
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Upload confidential, sensitive, or regulated information as described in Section 5.1
  • Use the Service to process data that requires compliance with industry-specific regulations (e.g., HIPAA, PCI-DSS, GDPR for sensitive data) without ensuring proper compliance

8. Data Processing and Storage

8.1 Data Processing

By uploading content to the Service, you grant Manual Manager a license to process, store, and analyze your content solely for the purpose of providing the Service, including AI-powered document analysis and Q&A functionality. Your content is processed using third-party AI services and stored on cloud infrastructure.

8.2 Data Processing Location

Your data is processed and stored on Amazon Web Services (AWS) cloud infrastructure located in the United States (US-West-2 region, Oregon). By using the Service, you acknowledge and consent to the transfer, processing, and storage of your data in the United States. If you are located outside the United States, please be aware that data protection laws in your jurisdiction may differ from those in the United States. For users subject to GDPR or other data protection regulations, you acknowledge that data transfers to the United States are necessary for the provision of the Service.

8.3 Data Retention

Your uploaded content and associated data will be retained for as long as your account is active. Upon account termination or deletion, we will delete your content within 30 days, except where retention is required by law. You may request deletion of specific content at any time through the Service.

8.4 Data Backup and Recovery

While we maintain regular backups of our systems, we do not guarantee data recovery in the event of data loss. You are responsible for maintaining your own backups of any critical content uploaded to the Service.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances. We are not liable for any loss or damage resulting from Service unavailability.

10. Limitation of Liability

To the maximum extent permitted by law, Manual Manager shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10.1 Data Security and Confidentiality

While we implement industry-standard security measures, you acknowledge that no method of transmission over the Internet or electronic storage is 100% secure. Manual Manager shall not be liable for any unauthorized access, use, disclosure, alteration, or destruction of your data, including but not limited to confidential information, personal data, or sensitive content that you upload in violation of Section 5.1. You are solely responsible for ensuring that uploaded content does not contain confidential, sensitive, or regulated information.

10.2 AI Processing Disclaimer

The Service uses artificial intelligence to process and analyze your uploaded documents. You acknowledge that AI systems may make errors, misinterpret information, or produce inaccurate results. Manual Manager shall not be liable for any decisions, actions, or consequences resulting from reliance on AI-generated responses or analysis. You are responsible for verifying the accuracy and appropriateness of any AI-generated content before making decisions based on it.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
